Terms of Service

The agreement between you and nouz: what the service is, what it costs, and what each of us is responsible for.

The service

These Terms of Service (the "Terms") govern your use of nouz, a profit tracking application for Shopify merchants, operated by Ibrahim Ölmez (Einzelunternehmen) ("we", "us", "nouz"). By signing up for or using the service, you agree to them.

nouz connects to your Shopify store and, optionally, to your Meta, Google and TikTok advertising accounts. It reads your orders, refunds, products and advertising spend, combines them with the cost rules you enter, and presents a daily profit and loss statement with a contribution margin waterfall, along with cost management, inventory reporting, analytics and data exports.

Features are added, changed and removed over time. We will not remove something central to the product without telling you first.

Who can sign up

You may sign up if you are at least 18 years old and have the legal capacity to enter into a contract. If you sign up on behalf of a company or another legal entity, you confirm that you are authorised to bind it to these Terms.

Your account

You are responsible for keeping your sign-in details confidential and for everything that happens under your account. Tell us promptly at support@nouz.co if you think someone else has gained access.

Plans, trial and pricing

nouz is sold as a monthly subscription. There are three plans, all billed monthly and all priced flat: nothing scales with your order volume or your revenue, and there is no usage overage.

  • Base, €69,00 per month net, one connected store.
  • Pro, €99,00 per month net, up to 5 connected stores.
  • Scale, €249,00 per month net, up to 10 connected stores.

Exactly what each plan includes is set out on the pricing page and in the app, and is the same list the checkout charges from. If we add a feature to a plan you are on, you get it at no extra cost.

Every plan starts with a 14-day free trial. A valid payment method and a billing address are required to start it. Nothing is charged during the trial. If you have not cancelled by the end of the trial, the first month is charged on the day the trial ends, and each following month on the same date until you cancel.

Prices are stated net, excluding VAT. VAT is determined at checkout by Stripe Tax from your billing country: Austrian VAT for Austrian customers, the local rate for consumers in other EU countries, and the reverse charge mechanism for business customers in another EU country with a valid VAT ID. Customers outside the EU are charged no EU VAT.

We may change prices. An existing subscription keeps its price for the month already paid, and we give at least 30 days' notice by email before a change takes effect, so you can cancel first if you would rather not continue.

Payment

Payments are processed by Stripe Payments Europe Ltd. Card details are collected and stored by Stripe. We never see your full card number.

If a payment fails, your account moves to a past due state while Stripe retries automatically. If every retry fails, the subscription is cancelled and your account loses access, though your data stays in place for the deletion period described in the Privacy Policy.

Cancellation, withdrawal and refunds

6.1 Cancelling

You can cancel at any time in the app, under Settings and then Billing. There is no notice period, no cancellation fee and nobody to talk to first. Cancellation takes effect at the end of the period you have already paid for, and you keep full access until then.

Cancelling during the trial stops it immediately and you are never charged.

6.2 Right of withdrawal for consumers

Under the Austrian Fern- und Auswärtsgeschäfte-Gesetz (FAGG) and Directive 2011/83/EU, a consumer in the EU normally has 14 days to withdraw from a contract concluded online. This applies only to consumers. If you sign up for business purposes, which is what nouz is built for, it does not apply to you.

You expressly request that we begin providing the service immediately when you sign up, including during the free trial period, and you acknowledge that by starting to use the service within the 14-day withdrawal period you lose your right of withdrawal under §18(1)(11) FAGG. This does not affect your statutory rights if the service is defective.

6.3 Refunds

Because the service begins immediately and you keep access to the end of every period you have paid for, we do not refund subscription fees already charged. The free trial exists so that you can decide before any money changes hands. If the service is not what you want, cancel before the next billing date and you will not be charged again. Nothing here limits mandatory statutory rights under Austrian law.

Your Shopify store and ad accounts

nouz never writes to your Shopify store

The connection requests read-only access. nouz cannot create, edit, cancel or delete an order, a product, a price, a customer or a setting in your shop, and it does not install anything into your storefront or your theme. It reads figures and nothing else. The same holds for the advertising accounts you connect: nouz reads spend, it does not change budgets, campaigns or creatives.

You are responsible for having the authority to connect the accounts you connect. You can disconnect any of them at any time in the app, which stops all further reading from that source immediately.

The platforms you connect are operated by third parties under their own terms. If one of them changes its API, restricts our access or goes down, the data from that source may be delayed or unavailable, and that is outside our control. Where that happens, nouz marks the affected figures as incomplete rather than filling the gap with a guess.

The numbers nouz shows you

nouz is a management reporting tool. It is not accounting software, not a bookkeeping system and not tax advice, and its output is not a statutory financial statement.

The accuracy of every margin below revenue depends on the cost rules you enter. If a product has no unit cost, or a shipping zone has no rate, the figures cannot be complete. nouz flags gaps like these rather than treating a missing cost as zero, but acting on the flags is your part of the work.

Please do not use nouz as your only source for a tax filing, a statutory account or a financing decision without checking the underlying figures. We are not liable for decisions taken on the basis of the figures shown, beyond the liability set out in section 13.

Availability

We aim to keep the service available at all times but do not promise a specific uptime figure. Planned maintenance is announced in advance where that is feasible. We are not liable for temporary unavailability caused by third-party infrastructure, force majeure or anything else outside our reasonable control.

Your data

You own the store data you connect and the cost rules you enter. You grant us a limited right to process them for the sole purpose of providing and improving the service. We do not sell your data, do not share it with other customers, and do not use it to train machine learning models.

You can export everything at any time, on every plan. How personal data is handled is set out in the Privacy Policy.

Acceptable use

You agree not to:

  • Use the service for an unlawful purpose or in breach of any applicable law.
  • Attempt to gain unauthorised access to another account or to any part of our systems.
  • Probe, scan, reverse engineer or test the security of the service, except with our prior written consent.
  • Send automated requests at a rate intended to degrade the service for other customers.
  • Resell, sublicense or white-label the service without our written agreement.
  • Upload or transmit content that infringes someone else's rights.

We may suspend or terminate an account that breaches this section.

Intellectual property

The service, including its software, design and the content we provide, belongs to Ibrahim Ölmez (nouz) and is protected by Austrian and international intellectual property law. Nothing in these Terms transfers ownership of any of it to you.

Liability

To the maximum extent permitted by Austrian law:

  • We are liable without limitation for damage caused intentionally or by gross negligence.
  • For damage caused by ordinary negligence, our total liability is limited to the subscription fees you paid us in the twelve months before the event giving rise to the claim.
  • We are not liable for indirect damage, lost profit, lost data or consequential damage.

Nothing in these Terms excludes or limits liability for personal injury, for fraud, or for anything else that cannot be excluded under Austrian law.

Indemnity

You agree to indemnify us against third-party claims arising from your breach of these Terms or your misuse of the service.

Termination

We may suspend or terminate your account with reasonable notice if you materially breach these Terms, for legal or security reasons, or if we discontinue the service. If we discontinue the service we will give at least 30 days' notice and a way to export your data before it stops.

You may terminate at any time by cancelling your subscription under section 6.1 and then deleting your account in Settings.

Changes to these Terms

We may update these Terms. When a change is material we notify you by email at least 14 days before it takes effect. Continuing to use the service after that date means you accept the updated Terms.

Governing law and jurisdiction

These Terms are governed by the law of the Republic of Austria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes arising out of or in connection with them is Vienna, Austria, unless mandatory consumer protection law assigns jurisdiction elsewhere.

Severability

If any provision of these Terms is invalid or unenforceable, the rest remain in force, and the invalid provision is replaced by one that comes closest to its economic intent.
